PowerGrid InvIT IPO: All You Need to Know

A new initial public offering (IPO) has hit the markets, and it is unlike anything we have covered in the past. PowerGrid Corporation of India has launched an InvIT IPO to raise funds for its power transmission assets. Let us take a closer look into PowerGrid InvIT, learn more about the IPO, and check whether you should subscribe or not.

What is an InvIT?

Firstly, we must understand what an Infrastructure Investment Trust (or InvIT) is. An InvIT is an investment scheme that allows institutional investors and small retail investors (like you and me) to directly invest funds in infrastructure projects. It is similar to the concept of mutual funds. Through InvITs, we can invest small amounts of money in specific income-generating assets such as transmission lines, gas pipelines, and road projects. Using this scheme, there are a few companies in India that monetise such infra projects in order to repay their debt obligations or to maintain a steady cash flow. marketfeed had published a detailed article on InvITs a while ago. 

Company Profile – PowerGrid InvIT

PowerGrid Infrastructure Investment Trust (PowerGrid InvIT) owns, constructs, operates, maintains, and invests in power transmission assets in India. It was registered as an InvIT with market regulator SEBI on January 7, 2021. Power Grid Corporation of India Ltd (PGCIL or PowerGrid) is the sponsor of this particular InvIT. [A sponsor of an InvIT is similar to the promoter of a company] The state-owned firm is also the project manager of the trust and is responsible for the execution and competition of all transmission projects. Most of us are familiar with PGCIL, as it is the largest power transmission company in our country. 

PowerGrid Corp is awarded specific projects under tariff-based competitive bidding (TBCB) by the government. Through its subsidiaries, PGCIL establishes and operates these transmission projects at various locations throughout India. Out of the projects secured by its sponsor, PowerGrid InvIT has initially acquired five projects with a total network of 11 power transmission lines. This consists of approximately 3,698.59 circuit km and three substations that have 6,630 megavolt amperes (MVA) of aggregate transformation capacity. The initial portfolio assets (IPA) of PowerGrid InvIT are PowerGrid Vizag, PowerGrid Kala Amb, PowerGrid Parli, PowerGrid Warora, and PowerGrid Jabalpur.

IDBI Trusteeship Services Ltd (ITSL) is the trustee of this InvIT. ITSL is certified by SEBI and inspects the performance of the trust. PowerGrid Unchahar Transmission Ltd (a subsidiary of PGCIL) is the investment manager of the InvIT. It supervises all the operational activities of the trust. 

Dividend Policy of the InvIT

As a unitholder of the InvIT, you will essentially be investing in the transmission assets mentioned above. The income generated from these assets will be distributed to all unitholders. PowerGrid InvIT will distribute ~90% of the net cash available for distribution to the unitholders once at least every quarter in a financial year. [Net cash is all expenses subtracted from the total income] As a unitholder of the trust, you will be eligible to receive a dividend during all four quarters. The first dividend will be given out within six months from the date of listing and trading of PowerGrid InvITs’ units.

About the IPO

PowerGrid InvIT aims to raise Rs 7,735 crore through the initial public offering (IPO). This will be the first InvIT IPO to be floated by a state-owned company in India. The public issue opens on April 29 and will close on May 3. The price band for the IPO has been fixed at Rs 99-100 per unit. Similar to shares of a company, you will be receiving or holding ‘units’ of the InvIT. The fresh issue of units aggregates to Rs 4993.48 crore. Individual investors can bid for a minimum of 1,100 units (1 lot). This means that you will have to pay Rs 1,10,000 to apply for the IPO. 

The proceeds from the IPO will be provided as loans to initial portfolio assets for repayment or pre-payment of debt, including any accrued interest. The remaining amount will be utilised for general corporate purposes.

Ahead of the IPO, PowerGrid InvIT raised over Rs 3,480 crore from around 47 anchor investors on April 28. Some of these anchor investors are SBI Mutual Fund (MF), HDFC MF, Tata MF, Tata AIG General Insurance Company, ICICI Prudential MF, etc.

Through the IPO, PowerGrid Corporation of India would maintain a 26% stake and offload 74% ownership of the InvIT.

From the table, it is clear that PowerGrid InvIT has shown a stellar increase in revenue and profits over the past four years. Total revenue has grown at a CAGR of 96% from FY18 to FY20. During the same period, net profit has grown at a yearly rate of 82%. The trust has realised maximum revenue from mainly two of its IPAs— PowerGrid Warora and PowerGrid Parli Transmission. They have also been successful in steadily reducing their overall debt. After the IPO, we could see a sharp decline in total debt, as a major portion of the proceeds will be used to repay them.

An important point to be noted is that the InvIT will continue to receive fixed tariffs due to long-term transmission service agreements (TSAs). It would obtain a fixed rate for every unit of power transmitted to various entities. This ensures steady cash flows in the years to come. Moreover, the trust is well-positioned to capitalise on increasing power transmission capacities across India.

Risk Factors

  • PowerGrid InvIT is a newly settled trust with no established operating history. This makes it difficult to accurately assess its future growth prospects.
  • The revenue derived from payments by designated inter-state transmission system customers and delays in payments of such billed transmission charges can affect cash flows and operations. 
  • Charges under transmission service agreements (TSAs) are fixed and may not be able to offset the increase in costs (such as operational and maintenance costs). This may impact its business and financial performance. 
  • The success of the InvIT primarily depends upon the investment and project managers, and the management and personnel they employ.
  • The company intends to distribute at least 90% of the net cash available for distribution to its unitholders once at least every quarter in every financial year. However, such income can fluctuate due to various risk factors mentioned above.

Conclusion

Due to a relatively large application amount, most retail investors are likely to stay away from this IPO. It received a very muted response from investors on the first day of bidding, with only 10% of the issue subscribed (so far). 

However, even if you cannot apply for this IPO, it would be a great pick for the long term. PowerGrid and its InvIT are well-positioned to meet the rising power consumption demands of India in the years to come. The sponsor’s experience provides the InvIT with a competitive advantage within the power transmission industry in India. Through the transmission assets it operates across our country, the InvIT has been able to post amazing financial performance over the years. They are likely to post even better revenues and cash flows in the future. Since transmission charges are fixed for a certain period (even up to 35 years), there is minimal price risk. This ensures stable and consistent cash flows. The prospects of a good yield (or dividend) for unitholders make it all the more favourable to invest.

The Board of Directors of State Bank of India (SBI) has approved raising up to $2 billion (~Rs 14,895 crore) through bonds. The funds are to be raised through a public offer and/or private placement of senior unsecured notes in US Dollars or any other convertible currency during FY 2021-22. In January, SBI had concluded the raising of $600 (~Rs 4,500 crore) from bonds to fund the expansion of its overseas business.

Morepen Labs’ board approves $100 million investment by Corinth Group

The Board of Directors of Morepen Laboratories Ltd has approved an investment of $32.50 million from Switzerland-based Corinth Group, as part of the private investment firm’s proposed $100 million (~Rs 745 crore) investment in the Morepen Group. The balance $67.50 million will be invested in promoter group companies. Corinth would be allotted 5.85 crore new equity shares on a preferential basis. The investment is subject to the approval of shareholders and other regulatory bodies.

KPIT Technologies Ltd reported a 23.6% YoY increase in net profit to Rs 47 crore for the quarter ended March (Q4). On a quarterly basis, net profit has grown by 9.3%. HCL Technologies Limited reported a 25.6% quarter-on-quarter (QoQ) decline in consolidated net profit to Rs 2,962 crore for the quarter ended March (Q4). The IT firm’s revenue rose 1.8% QoQ to Rs 19,642 crore during the same period. HCL Tech registered its highest-ever new deal bookings during Q4 FY21 at $3.1 billion (~Rs 23,230 crore). Its IT and business services segment reported a 4.4% QoQ growth. The company has allocated around Rs 700 crore as one-time bonus to employees. LT Foods Limited has announced the expansion of its premium rice-based snacks brand Kari Kari to Australia and the United Arab Emirates (UAE). The company said its joint venture (JV) firm with Japan-based Kameda Seika has started exporting Kari Kari to the markets of Australia and UAE. Power Grid Corporation of India (PowerGrid) is set to launch an infrastructure investment trust (InvIT) initial public offering (IPO) on April 29. As per reports, the IPO size is likely to be in the range of Rs 7,700-8,000 crore. This comprises a fresh issue of shares of up to Rs 4,995 crore and an offer for sale (OFS) of up to Rs 3,000 crore. The InvIT is likely to include 11 power transmission lines owned and operated by PowerGrid.

What are Infrastructure Investment Trusts (InvITs)?

An Infrastructure Investment Trust (InvIT) is an investment scheme (similar to a mutual fund) that enables individual and institutional investors to directly invest funds in infrastructure projects. These investors, who collectively invest small amounts of money in income-generating assets, receive a small portion of the income in return. These ‘assets’ could include road projects, power transmission lines, gas pipelines and much more.

We know that infrastructure firms require a steady cash flow to complete their projects. In most cases, they borrow large amounts of money from financial institutions. Thus, companies monetise their income-generating assets (through InvITs) to repay their debt obligations quickly and effectively. The funds raised through InvITs are used to pay off interest on loans and other substantial expenses. The primary objective of InvITs is to promote the infrastructure sector of a country by encouraging more individuals to invest in it. 

An InvIT is established as a trust and must be registered with the Securities and Exchange Board of India (SEBI). The SEBI (Infrastructure Investment Trusts) Regulations, 2014 provides specific details regarding the registration and regulation of InvITs. Once registered, InvITs can raise funds through public or private placement and issue units to investors. In return, investors obtain a share of the annual distribution of dividends and interests. The units of such trusts are listed on the stock exchanges as a combination of both equity and debt instruments. 

The minimum amount required to invest in an InvIT IPO is Rs 10 lakh. Thus, large financial institutions or high net worth individuals (HNIs) find InvITs as a profitable investment opportunity. Small retail investors would struggle to apply for such IPOs.  

Types of InvITs

  1. The first type of InvIT allows investment in revenue-generating completed projects. Firms invite investors to invest in finished projects through an InvIT IPO.
  1. The second type of InvIT allows investors to invest in projects that are both completed or under construction. 

Structure of InvITs in India

  1. Trustee – A trustee inspects the performance of an InvIT and is certified by market regulator SEBI. They are required to invest at least 80% into infrastructure assets that generate steady revenue.
  1. Sponsor(s) – This refers to promoters, institutions, or companies— that have a net worth of at least Rs 100 crore— which establishes an InvIT. They must hold a minimum of 25% in the InvIT with a minimum lock-in period of 3 years or as notified by any regulatory requirement. When it comes to public-private partnership (PPP) projects, sponsors serve as a Special Purpose Vehicle (SPV). [An SPV is a subsidiary company that facilitate the parent company’s financial arrangements, including leverage and speculative investments, without compromising the entire group]
  1. Investment Manager – This refers to a limited liability partnership (LLP) or an organisation that manages investments and supervises all the operational activities surrounding the InvIT.
  1. Project Manager – They are responsible for the execution and completion of infrastructure projects.

Prominent InvITs in India

As of February 2021, there are 13 Infrastructure Investment Trusts registered with SEBI. Let us take a look at some of the most prominent ones:

India Grid Trust

India Grid Trust (IndiGrid) is India’s first listed power sector infrastructure investment trust. It is sponsored by American global investment firm KKR & Co. and Sterlite Power Grid Ventures Ltd (SPGVL). The InvIT owns 12 operating assets, spanning over 30 transmission lines, spread across 6,740 circuit kilometers. IndiGrid also owns 9 substations with 12,290 mega-volt ampere (MVA) transformation capacity across 15 states and one Union Territory, The entity’s assets under management (AUM) are currently worth ~Rs 15,000 crore.

IRB InvIT Fund

IRB InvIT Fund is the first listed InvIT focused on toll-road assets in India. The sponsor of the trust is IRB Infrastructure Developers Ltd, one of the largest infrastructure development and construction companies in India. IRB InvIT Fund owns, operates, and maintains a portfolio of six toll-road assets in the states of Maharashtra, Gujarat, Rajasthan, Karnataka, and Tamil Nadu. These toll roads are operated and maintained through concession agreements granted by the NHAI.

National Highways Infra Trust

It has been reported that the National Highways Authority of India (NHAI) will come out with an InvIT by March 2021. It will be the first InvIT sponsored by a government entity in our country. Around six road assets worth Rs 5,000 crore have been given in-principle approval for transfer to the InvIT. This will enable NHAI to monetise its completed National Highways that have a toll collection track record of at least 1 year.

Assets to be transferred to the InvIT include the 32.6 km Kotha-Kata Bypass to Kurnool (Telangana), the 75 km-long Palanpur-Abu Road in Gujarat, the 31 km-long Abu Road-Swaroopganj in Gujarat, the 160 km Chittorgarh Kota and Chittorgarh Bypass in Rajasthan, and the 77 km Maharashtra-Karnataka border to Belgaum. 

Power Grid Infrastructure Investment Trust

On January 28, 2021, Power Grid Corporation of India Ltd filed draft papers with SEBI for issuing an InvIT. The company seeks to raise more than Rs 5,000 crore to fund new and under-construction projects. This will be the first InVIT in the country to be floated by a public sector company. The offer includes a fresh issue as well as an offer-for-sale (OFS).

The trust’s initial portfolio will have transmission assets worth around Rs 7,000 crore. This includes PowerGrid Vizag Transmission Ltd, PowerGrid Kala Amb Transmission Ltd, PowerGrid Parli Transmission Ltd, PowerGrid Warora Transmission Ltd, and PowerGrid Jabalpur Transmission Ltd. The proceeds from the offer will be utilised for providing loans to the initial portfolio assets for repayment or pre-payment of debt and general expenses.

Other InvITs registered with SEBI include India Infrastructure Trust, Indian Highway Concessions Trust, IndInfravit Trust, MEP Infrastructure Investment Trust, Digital Fibre Infrastructure Trust, Oriental Infra Trust, Tower Infrastructure Trust, and Roadstar Infra Investment Trust.
